Sample License Terms

1. Grant of License

Upon valid purchase and payment verification, the Licensor grants to the Licensee a non-exclusive, worldwide, perpetual license to use a portion of the Licensed Work ("Sample") in the creation of new, original derivative works.

This license is evidenced by an on-chain record on the blockchain network specified at the time of purchase, and a verifiable License Certificate that can be generated at any time.

2. Permitted Use

The Licensee may:

• Use a Sample of up to 30 seconds OR 25% of the total duration of the Licensed Work, whichever is shorter
• Incorporate the Sample into unlimited original musical compositions
• Distribute, sell, stream, and publicly perform derivative works containing the Sample
• Use derivative works for commercial purposes including but not limited to: streaming platforms, digital downloads, physical media, sync licensing, and live performances
• Modify, edit, chop, pitch-shift, time-stretch, or otherwise manipulate the Sample

3. Restrictions

The Licensee may NOT:

• Use more than the permitted Sample duration (30 seconds or 25%, whichever is shorter)
• Distribute the Licensed Work or its stems/components in their original, unmodified form
• Create a "cover version" or substantially similar recreation of the Licensed Work
• Sell, transfer, sublicense, or assign this license to any third party
• Include the Sample in sample packs, production kits, or similar products intended for redistribution to other producers
• Use the Sample in any way that could be considered defamatory, obscene, or harmful to the original artist's reputation
• Claim ownership of the underlying composition or sound recording of the Licensed Work

4. Attribution

Attribution is encouraged but not required. If the Licensee chooses to provide attribution, the following format is suggested:

5. Ownership & Rights

• The Licensor retains all ownership rights to the original Licensed Work
• The Licensee owns all rights to their original creative contributions in derivative works
• This license grants no rights to the underlying musical composition beyond the Sample use permitted herein
• The license is non-exclusive; the Licensor may license the same work to other parties

6. Payment & Royalties

• License fee is a one-time payment made at the time of purchase
• No ongoing royalties are required from the Licensee to the Licensor
• The Licensee is responsible for any royalties or fees owed to third-party rights holders (e.g., PROs, publishers) if applicable

7. Verification & Proof

This license is recorded on-chain and can be verified at any time. The Licensee may generate a License Certificate containing:

• Transaction hash and block number of the purchase
• License ID and associated track information
• Wallet addresses of Licensor and Licensee
• Timestamp of purchase
• QR code linking to on-chain verification

8. Warranties & Disclaimers

The Licensor warrants that they have the right to grant this license and that the Licensed Work does not infringe upon the rights of any third party.

THE LICENSE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. UNCHAINED MUSIC ACTS SOLELY AS A PLATFORM AND MAKES NO WARRANTIES REGARDING THE LICENSED WORKS OR THE ENFORCEABILITY OF LICENSES IN ANY JURISDICTION.

9. Termination

This license is perpetual and irrevocable, provided the Licensee complies with all terms herein. Breach of any material term may result in termination of the license, at which point the Licensee must cease all use of the Sample and remove it from any distributed works where reasonably possible.

10. Governing Law

This license shall be governed by and construed in accordance with applicable copyright law. Any disputes shall be resolved through binding arbitration in a mutually agreed-upon jurisdiction.
