Remix License Terms

1. Grant of License

Upon valid purchase and payment verification, the Licensor grants to the Licensee a non-exclusive, worldwide, perpetual license to create one (1) official remix of the Licensed Work.

This license is evidenced by an on-chain record on the blockchain network specified at the time of purchase, and a verifiable License Certificate that can be generated at any time.

2. Definition of Remix

A "Remix" is a new derivative work that:

• Contains substantial original creative contribution from the Licensee
• Incorporates elements from the Licensed Work (vocals, instrumentals, melodies, etc.)
• Is recognizably different from the original while maintaining a connection to it
• Is clearly identified as a "Remix" in its title and metadata

3. Permitted Use

The Licensee may:

• Access and use the full Licensed Work, including any provided stems, vocals, and instrumentals
• Create one (1) unique remix derivative work
• Distribute, sell, stream, and publicly perform the remix commercially
• Release the remix on streaming platforms, digital stores, physical media, and other distribution channels
• License the remix for sync (film, TV, advertising, games, etc.)
• Perform the remix live and in DJ sets
• Modify, rearrange, and reinterpret elements of the Licensed Work

4. Restrictions

The Licensee may NOT:

• Create more than one (1) remix under this license—additional remixes require additional licenses
• Release or distribute the Licensed Work or its stems in their original, unmodified form
• Share, sell, or sublicense the stems or source materials to any third party
• Present the work as an "original" rather than a remix
• Sell, transfer, or assign this license to any third party
• Use the Licensed Work's elements in projects other than the single permitted remix
• Create substantially identical copies ("bootlegs") that don't add meaningful creative contribution
• Use the Licensed Work in any way that could be considered defamatory, obscene, or harmful to the original artist's reputation

5. Attribution Requirements

Attribution is required for remix licenses. The remix must be titled and credited in a format that clearly indicates the original work and artist:

Metadata and credits should include: Original Artist, Original Track Name, and indicate the work is a Remix.

6. Ownership & Rights

• The Licensor retains all ownership rights to the original Licensed Work
• The Licensee owns all rights to their original creative contributions in the remix
• The remix constitutes a derivative work; the underlying composition rights remain with the original creator
• The license is non-exclusive; the Licensor may license the same work to other remixers
• If the remix generates publishing royalties, splits should be negotiated separately if the original composition is registered with a PRO

7. Payment & Royalties

• License fee is a one-time payment made at the time of purchase
• No ongoing master royalties are required from the Licensee to the Licensor for the remix
• Publishing royalties (if applicable) are subject to standard industry practices and any existing registrations with PROs
• The Licensee is responsible for any third-party clearances beyond the scope of this license

8. Verification & Proof

This license is recorded on-chain and can be verified at any time. The Licensee may generate a License Certificate containing:

• Transaction hash and block number of the purchase
• License ID and associated track information
• Wallet addresses of Licensor and Licensee
• Timestamp of purchase
• QR code linking to on-chain verification

9. Warranties & Disclaimers

The Licensor warrants that they have the right to grant this remix license and that the Licensed Work does not infringe upon the rights of any third party to the best of their knowledge.

THE LICENSE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. UNCHAINED MUSIC ACTS SOLELY AS A PLATFORM AND MAKES NO WARRANTIES REGARDING THE LICENSED WORKS OR THE ENFORCEABILITY OF LICENSES IN ANY JURISDICTION.

10. Termination

This license is perpetual and irrevocable, provided the Licensee complies with all terms herein. Breach of any material term—including creating multiple remixes under a single license or redistributing stems—may result in termination of the license, at which point the Licensee must cease distribution of the remix.

11. Governing Law

This license shall be governed by and construed in accordance with applicable copyright law. Any disputes shall be resolved through binding arbitration in a mutually agreed-upon jurisdiction.
